Job Summary
- The Company Secretary will ensure the organisation’s compliance with legal, regulatory, and corporate governance requirements in the asset management sector.
- This role involves providing strategic guidance to the board and senior management, maintaining robust corporate governance frameworks, and facilitating effective communication between stakeholders.
- The Company Secretary will oversee board meetings, manage statutory records, and ensure adherence to best practices, fostering transparency and accountability.
Responsibilities
- Ensure compliance with legal and regulatory requirements, maintaining high standards of corporate governance and ethical practices.
- Provide strategic guidance to the board of directors, organise meetings, and prepare agendas, minutes, and resolutions.
- Manage statutory records, filings, and disclosures, ensuring timely and accurate submission to regulatory authorities.
- Facilitate effective communication between the board, management, shareholders, and external stakeholders.
- Identify and mitigate corporate risks, ensuring alignment with organisational policies and industry standards.
- Develop and implement corporate policies, procedures, and frameworks to support governance and compliance objectives.
Qualifications
- Minimum of 10–15 years experience in corporate governance, compliance, or legal roles, with at least 5 years in a senior company secretarial position.
- Bachelor’s Degree in Law, Business Administration, or a related field; a professional qualification (e.g., ICSA) is highly desirable.
- In-depth understanding of corporate law, regulatory frameworks, and compliance requirements in asset management.
- Strong organisational, communication, and interpersonal skills, with the ability to engage effectively with stakeholders at all levels.
- Proven ability to manage complex statutory processes, maintain accurate records, and ensure timely compliance.
- Commitment to upholding integrity, transparency, and accountability in corporate governance practices.
- Must be willing to relocate.
