About the Role
- We are seeking a highly skilled Legal Counsel to join our legal team in Lagos.
- The ideal candidate will have a strong background in commercial law, corporate governance, and company secretarial practice, with a minimum of four (4) years of legal experience in a reputable corporate law firm.
- The role involves providing expert legal advice, ensuring regulatory compliance, managing corporate transactions, and supporting the company’s governance framework.
Key Responsibilities
- Legal Advisory & Compliance: Provide expert legal advice on corporate, commercial, and regulatory matters affecting the company. Ensure compliance with all applicable laws, regulations, and corporate policies.
- Contract Management: Draft, review, and negotiate commercial agreements, service contracts, MOUs, and other legal documents to protect the company’s interests.
- Company Secretarial & Corporate Governance: Support the organization in fulfilling its corporate governance obligations, including organizing board and shareholder meetings, preparing board resolutions, maintaining statutory records, and ensuring regulatory filings with relevant authorities such as CAC, SEC, and other regulatory bodies.
- Regulatory & Stakeholder Engagement: Liaise with regulatory bodies and government agencies to ensure compliance with industry regulations and corporate disclosure requirements.
- Risk Management: Identify potential legal risks in business operations and recommend strategies for mitigation.
- General Legal Support: Assist in corporate transactions, due diligence exercises, policy drafting, and any other legal matters as required.
Requirements
- Educational Qualification: LL.B and BL from a recognized institution.
- Experience: Minimum of four (4) years of post-call experience in a reputable corporate law firm with a strong focus on commercial law and company secretarial practice.
- Professional Certification: ICSAN certification is an added advantage.
- Skills & Competencies:
- Strong understanding of commercial and corporate law.
- Excellent contract drafting, negotiation, and legal research skills.
- Solid knowledge of corporate governance and regulatory compliance.
- Strong analytical, problem-solving, and communication skills.
- High level of professionalism, integrity, and attention to detail.
- Ability to work independently and collaboratively in a fast-paced environment.
- Proficient in MS Office.
